1. Acceptance of Terms
- By accessing or using the Stratify IQ website, products, or services, you agree to be bound by these Terms of Service and all applicable laws and regulations.
- If you do not agree with any of these terms, you are prohibited from using or accessing our services. These terms apply to all visitors, users, and others who access or use our services.
2. Description of Services
- Stratify IQ provides custom software development services, IT consulting, and ready-made management systems including the Pharmacy Management System and POS Management System.
- We reserve the right to modify, suspend, or discontinue any part of our services at any time with or without notice.
- Free trial periods (such as our first-year free offer) are subject to our pricing terms and may change at our discretion.
3. Use of Our Services
- You agree to use our services only for lawful purposes and in a manner that does not infringe the rights of others.
- You must not attempt to gain unauthorised access to any part of our systems, servers, or databases.
- You must not use our services to transmit any harmful, offensive, fraudulent, or illegal content.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Intellectual Property
- All content, features, and functionality of Stratify IQ's website and products — including but not limited to software, text, graphics, logos, and icons — are the exclusive property of Stratify IQ and are protected by applicable intellectual property laws.
- You may not reproduce, distribute, modify, or create derivative works from any of our content without our express written consent.
- Custom software developed for a client becomes the client's property upon full payment, unless otherwise agreed in writing.
5. Pricing & Payment
- Pricing for our services is communicated directly to clients via proposals and agreements. All prices are subject to change.
- The first-year free offer for Pharmacy and POS systems includes a transaction fee of 0.50 pesewas per transaction. After the first year, standard subscription pricing applies.
- Payments are due in accordance with the timelines specified in individual client agreements.
6. Confidentiality
- Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the business relationship.
- This obligation of confidentiality survives the termination of any agreement between Stratify IQ and the client.
7. Disclaimer of Warranties
- Our services are provided on an 'as is' and 'as available' basis without warranties of any kind, either express or implied.
- We do not warrant that our services will be uninterrupted, error-free, or completely secure.
- Stratify IQ makes no representations or warranties regarding the accuracy or completeness of any content on our website.
8. Limitation of Liability
- To the fullest extent permitted by law, Stratify IQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.
- Our total liability for any claims under these terms shall not exceed the total amount paid by you to Stratify IQ in the three months preceding the claim.
9. Termination
- We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
- Upon termination, your right to use the services will cease immediately. Provisions that by their nature should survive termination will remain in effect.
10. Governing Law
- These Terms shall be governed by and construed in accordance with the laws of Ghana.
- Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Ghana.
11. Changes to These Terms
- We reserve the right to update or modify these Terms at any time. We will notify users of significant changes via our website or email.
- Your continued use of our services after any changes constitutes your acceptance of the revised Terms.
